Your investor category

  • Retail investor — any investor who is not a sophisticated investor, high net worth individual or qualified institutional investor. You may invest no more than 10% of your net annual income across crowdfunding investments in any twelve-month period.
  • Sophisticated investor, high net worth individual or qualified institutional investor — a category you declare yourself, on the Commission's definitions. Investors in these categories are exempt from the 10% cap.
Your category and your declared net annual income determine the limit the platform enforces in real time. An amount above your limit is blocked, not warned about.

Where your money goes

Subscriptions are paid into a segregated trust account held by an independent SEC-registered custodian. Funds are released to the Fundraiser only when the offer has met its minimum threshold, there is no unresolved material adverse change, and the securities registration is confirmed. If those conditions are not met, your money is returned.
